Scope of Services

Grigolato.it provides freelance consulting services in the areas of enterprise architecture, blockchain development, change management, and IT strategic advisory. The specific scope of each engagement is defined in a separate proposal or statement of work agreed upon by both parties.

Engagement & Proposals

All engagements begin with a written proposal or statement of work that specifies the scope, timeline, deliverables, and fees. An engagement is considered confirmed upon written acceptance by the client (email is sufficient).

These general terms apply to all engagements unless explicitly overridden in the proposal or statement of work.

Fees & Payment

  • Fees are specified in the proposal and may be based on hourly, daily, or fixed-price arrangements
  • All fees are exclusive of BTW (VAT), which will be charged at the applicable Dutch rate
  • Invoices are issued monthly or upon delivery of milestones, as specified in the proposal
  • Payment is due within 30 days of the invoice date
  • Late payments are subject to the statutory commercial interest rate (wettelijke handelsrente) under Dutch law

Intellectual Property

All deliverables produced during an engagement are the intellectual property of the client upon full payment, unless otherwise agreed in the proposal.

Grigolato.it retains the right to use general knowledge, techniques, and methodologies developed or refined during the engagement for future work. Pre-existing intellectual property (frameworks, templates, tools) remains the property of Grigolato.it, with a license granted to the client for the purpose of the engagement.

Confidentiality

Both parties agree to treat all non-public information shared during the engagement as confidential. This obligation survives the termination of the engagement and applies for a period of two years after the last exchange of confidential information.

Confidential information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.

Limitation of Liability

Grigolato.it's total liability for any claim arising from an engagement is limited to the total fees paid by the client for that specific engagement.

Grigolato.it is not liable for indirect, consequential, or incidental damages, including but not limited to loss of profit, data loss, or business interruption.

This limitation does not apply in cases of willful misconduct (opzet) or gross negligence (grove schuld).

Cancellation & Termination

  • Either party may terminate the engagement with 30 days' written notice
  • Upon termination, the client pays for all work completed and expenses incurred up to the termination date
  • All deliverables completed and paid for will be transferred to the client
  • In case of material breach by either party, the other party may terminate immediately upon written notice if the breach is not remedied within 14 days of notification

Governing Law

These terms and all engagements are governed by the laws of the Netherlands.

Any disputes arising from or in connection with these terms or any engagement shall be submitted exclusively to the competent court in Lelystad, the Netherlands.

Changes to These Terms

We may update these terms from time to time. The date at the top of this page reflects the latest revision. Changes do not apply retroactively to existing engagements.
